iRobot has completed its court-supervised transaction with affiliates of Picea Robotics, formally emerging from its Chapter 11 restructuring process. In conjunction with the transaction, the company announced the creation of iRobot Safe Corporation, a U.S.-based subsidiary dedicated to overseeing consumer data governance.
According to iRobot’s January 23, 2026 press release, the transaction results in Picea acquiring 100% of iRobot’s equity interests, positioning the company as a privately held entity with a restructured financial foundation. iRobot described the move as enabling “the next chapter of growth” following the completion of the court-approved process.
Creation of iRobot Safe
A central component of the post-transaction structure is the formation of iRobot Safe Corporation (“iRobot Safe”). The subsidiary is intended to govern and protect U.S. and other global consumer data under a framework designed to maintain separation between foreign ownership and data oversight.

iRobot stated that iRobot Safe will be overseen by an independent board of U.S. citizens and will include a U.S.-based Data Security Officer and Chief Executive Officer who meet specific eligibility requirements. The governance framework is designed to reinforce domestic control over sensitive consumer information despite the company’s new ownership structure.
Ownership and Operational Structure
Picea has been a long-standing strategic partner to iRobot, serving as its primary contract manufacturer and secured lender during the restructuring process. With the transaction complete, iRobot remains headquartered in Bedford, Massachusetts, and states that key operational functions — including engineering, product development, and marketing — will continue to be based in the United States.
